Legal Counsel (Corporate) (Amsterdam)

Introduction

For this prestigious and ambitious project we are recruiting for a Legal Counsel (Corporate). The role is commercial and corporate with a broad-based workload encompassing a wide variety of contracts (with an international component), as well as an active part in corporate housekeeping and labour law. This opportunity will appeal to lawyers who are looking for a dynamic and challenging position in an international/multicultural environment. You will report to the Head of Legal.

Organization

As a subsidiary of PAO Gazprom, South Stream Transport B.V. is responsible for the construction of the TurkStream Offshore Pipeline.

The TurkStream Offshore Pipeline will start in Anapa, Russia, running over 900 kilometres through the Black Sea to the Turkish coast. The pipeline will help secure energy supplies to Turkey and South-Eastern Europe in a reliable and sustainable way. The Project will use state-of-the-art technology, materials and equipment, to safeguard the pipeline’s safe operation for many decades to come.

Function

  • Draft and review a large variety of (commercial) contracts: NDA, Services Agreements, Lease agreements, etc.;
  • Corporate housekeeping: drafting board resolutions, powers of attorney (POA), minutes of board meetings and any other required document; timely submission of the financial statements to the Chamber of Commerce;
  • Corporate administration: maintain the corporate legal database, ensuring it is consistently up to date and complete. File and archive originals of contracts. Prepare overviews of information when required. Assist the legal team for the preparation of board meetings and liaise with notary for document notarization and legalization;
  • Act as the first point of contact for questions related to Dutch labour law;
  • Collaborate with legal team members (Legal Team consists of 5 lawyers,1 assistant and 1 legal translator), other departments of the company (Commercial, Finance, Technical) and report to the shareholder;
  • Liaise with and manage external lawyers as appropriate;
  • Perform other related duties as assigned.

Requirements

  • Master Dutch Law degree (corporate/commercial);
  • 3-4 years experience in quality private practice and/or in-house setting;
  • Knowledge of Dutch corporate law and labour law;
  • Solid client relationship experience and communications skills and ability to work with a wide range of people with varying degree of legal exposure;
  • Pragmatic, hands-on and very flexible;
  • Result driven, but eager to execute with precision;
  • Demonstrated to work in an international, fast paced, multicultural environment;
  • Fluent in English and Dutch, both verbal and written;
  • Good knowledge of Word, Excel, PowerPoint and Windows;
  • Ability to travel.
